KNTRCTR is an online marketplace that connects companies seeking to post project opportunities ("Requesters") with companies or individuals seeking to bid on and complete such work ("Bidders"). The Platform provides tools for posting, bidding, messaging, reviewing, and managing tenders, including tools that allow Requesters, the Platform, or the Company (manually or automatically) to identify, notify, and invite Bidders to participate in posted projects. However, we do not participate in or guarantee any transaction, nor do we verify, supervise, or manage any aspect of the actual services exchanged between Users.
The Company does not act as an agent, broker, or fiduciary for any User. All interactions, contracts, and agreements between Users occur independently and at Users' own risk.
To access certain features of the Platform, you must register for an account. You agree to provide accurate and complete information and to update your information as necessary. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
We may verify, suspend, or terminate accounts at our discretion if fraudulent or suspicious activity is detected.
By creating an account on the Platform, you acknowledge and agree that you may receive platform-related communications, including but not limited to job invitations, bid notifications, updates from connected Users, and other notices reasonably related to your use of the Platform. These communications are considered part of the service. You may manage notification preferences within your account settings where available.
The Platform is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

All content, software, trademarks, graphics, logos, and other intellectual property available on or through the Platform are the exclusive property of Lexington Springs Holding Corp. or its licensors. No rights or licenses are granted to you except as expressly set forth in these Terms.
You agree not to reproduce, duplicate, modify, or create derivative works from any part of the Platform without prior written consent.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
The Platform includes access to REX, an AI-powered bid intelligence tool ("REX" or "AI Feature") that analyzes subcontractor bid data and surfaces observations to assist Users in evaluating project submissions. REX is a decision-support tool only.
Output from REX does not constitute professional advice - legal, financial, contractual, procurement, or otherwise - and must not be relied upon as such.
REX does not make award recommendations and does not determine which subcontractor should be selected for any project. All award decisions, contract acceptances, and subcontractor selections are made exclusively by the User. The Company assumes no responsibility for any decision made by a User in connection with REX output, in whole or in part.
AI-generated analysis is probabilistic and subject to error. REX output may be incomplete, inaccurate, outdated, or misleading. The Company makes no representation or warranty - express or implied - regarding the accuracy, completeness, reliability, or fitness for purpose of any analysis produced by REX.
Users are solely responsible for independently verifying all information and exercising their own professional judgment before acting on any REX output.
To the maximum extent permitted by applicable law, Lexington Springs Holding Corp., its affiliates, officers, directors, employees, and agents shall not be liable for any loss, damage, claim, cost, or expense of any kind - direct, indirect, incidental, consequential, or punitive - arising from or related to:
REX is powered by a third-party large language model. The Company does not own, control, or warrant the behavior of the underlying AI model. Model outputs are generated automatically and are not reviewed or approved by the Company prior to delivery to the User.
REX is currently offered as a beta feature. Beta features are experimental, may contain errors, and are subject to change, suspension, or discontinuation without notice. Your use of REX in beta form is at your sole risk.
