1. Acceptance of Terms

By accessing or using the Platform, you ("User", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"). These Terms govern your use of KNTRCTR.COM and constitute a binding agreement between you and Lexington Springs Holding Corp., a corporation organized under the laws of the Province of Ontario, Canada.

If you do not accept these Terms, you must not access or use the Platform. Creating an account, posting, bidding, or otherwise using the Platform constitutes explicit acceptance of these Terms.

2. Description of the Service

KNTRCTR is an online marketplace that connects companies seeking to post project opportunities ("Requesters") with companies or individuals seeking to bid on and complete such work ("Bidders"). The Platform provides tools for posting, bidding, messaging, reviewing, and managing tenders, including tools that allow Requesters, the Platform, or the Company (manually or automatically) to identify, notify, and invite Bidders to participate in posted projects. However, we do not participate in or guarantee any transaction, nor do we verify, supervise, or manage any aspect of the actual services exchanged between Users.

The Company does not act as an agent, broker, or fiduciary for any User. All interactions, contracts, and agreements between Users occur independently and at Users' own risk.

3. User Accounts

To access certain features of the Platform, you must register for an account. You agree to provide accurate and complete information and to update your information as necessary. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

We may verify, suspend, or terminate accounts at our discretion if fraudulent or suspicious activity is detected.

4. Platform Communications and Invitations

By creating an account on the Platform, you acknowledge and agree that you may receive platform-related communications, including but not limited to job invitations, bid notifications, updates from connected Users, and other notices reasonably related to your use of the Platform. These communications are considered part of the service. You may manage notification preferences within your account settings where available.

5. Subscription Terms and Billing

• Use of KNTRCTR may be subject to paid subscription plans, which are clearly disclosed at the time of purchase. Subscriptions renew automatically unless cancelled prior to the renewal date.
• All fees are billed in advance and are non-refundable.
• You will not be entitled to a refund in the event you forget to cancel, fail to use the Platform, or accidentally select an annual or higher-priced plan.
• You are solely responsible for managing your subscription settings and payment information.
• Taxes, if applicable, are the responsibility of the User.
• Failed payments may result in suspension of your account until payment is successfully processed.

6. No Warranty, No Guarantee

The Platform is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Lexington Springs Holding Corp. makes no representations, warranties, or guarantees regarding:

• The accuracy, legality, or quality of any User-submitted content or tenders;
• The performance, reliability, or conduct of any Requester or Bidder;
• The completion, timeliness, or value of any transaction or project initiated through the Platform.

You engage with other Users entirely at your own risk.

7. User Responsibilities

Users shall not, under any circumstances:

• Post false, misleading, defamatory, or illegal content;
• Misrepresent their qualifications, business, or intent;
• Use the Platform for unlawful purposes or to harass, exploit, or abuse others;
• Infringe upon the intellectual property rights of others.

Publicity & Promotion of Jobs

• By posting a public job, you consent to the Company sharing details of the job with third parties, including on social media or via outreach to potential Bidders, to facilitate bidding.
• Private jobs will remain confidential and will not be promoted externally.
• Users are responsible for selecting the appropriate posting visibility (public or private) and ensuring it aligns with their privacy expectations.

Indemnification

You agree to indemnify, defend, and hold harmless Lexington Springs Holding Corp., its affiliates, officers, and employees from any claims, liabilities, losses, or damages arising from:

• Your use of the Platform;
• Your posting of public or private jobs;
• Your interactions or agreements with other Users;
• Your violation of these Terms.

We reserve the right, in our sole discretion, to suspend or terminate any User account found to be in violation of these Terms or engaging in activities harmful to the Platform or other Users.

8. Disputes Between Users

You acknowledge and agree that:

• Lexington Springs Holding Corp. is not a party to any contract or transaction between Users.
• We shall have no responsibility or liability for any disputes, claims, or losses arising from:
• Non-payment or underpayment;
• Disagreements over project scope or quality;
• Alleged breaches of contract or unlawful conduct.
• Users are solely responsible for resolving disputes independently, including pursuing any legal action.

9. Ratings, Reviews, and User Content

Users may submit ratings, reviews, or other content regarding their experiences on the Platform. By posting such content, you:

• Confirm that you own or have the right to post the content;
• Grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, display, or distribute the content for marketing, promotion, or operational purposes;
• Understand that the Company may moderate, hide, or remove content at its discretion.

All ratings, reviews, and other User-generated content are opinion-based and not factually guaranteed. Lexington Springs Holding Corp. does not verify, endorse, or guarantee any content.

Users are subject to our Privacy Policy (link provided on the Platform), which governs collection, use, and disclosure of personal information.

10. Intellectual Property

All content, software, trademarks, graphics, logos, and other intellectual property available on or through the Platform are the exclusive property of Lexington Springs Holding Corp. or its licensors. No rights or licenses are granted to you except as expressly set forth in these Terms.

You agree not to reproduce, duplicate, modify, or create derivative works from any part of the Platform without prior written consent.

11. Limitation of Liability

In no event shall Lexington Springs Holding Corp. be liable for any direct, indirect, incidental, consequential, or punitive damages arising from:

• Loss of profits or business opportunity;
• Failure of performance or delivery by another User;
• Data loss, system failure, or service interruption;
• Claims, damages, or disputes between Users.

In any event, our total liability shall not exceed the amount paid by you to us, if any, within the twelve (12) months preceding the event giving rise to the claim.

12. Termination and Account Suspension

We reserve the right to suspend or terminate your access to the Platform at any time, without notice or refund, for any conduct that we, in our sole discretion, believe violates these Terms or is otherwise harmful to the Platform or other Users.

Termination does not relieve you of outstanding obligations, including unpaid subscription fees.

13. Changes to Terms

We may update or modify these Terms at any time by posting a revised version on the Platform. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms.

Material changes may also be communicated via email or platform notification.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
